The Power Agents products are independent third-party software developed by Neural-LLM and are not affiliated with, endorsed by, sponsored by, or otherwise connected to Anthropic, PBC, OpenAI, xAI, or Moonshot AI. "Claude" and "Claude Code" are trademarks of Anthropic, PBC; "Codex" of OpenAI; "Grok" of xAI; "Kimi" of Moonshot AI. Each is used here under nominative fair use solely to identify the third-party software with which the corresponding Product interoperates. Every Product is a companion utility; you must obtain and pay for your own account with the relevant Host Vendor separately and use it in accordance with that vendor's terms of service and usage policies (Anthropic's are at https://www.anthropic.com/terms).

1. Parties and Acceptance

This End-User License Agreement ("EULA") is a legal agreement between you (an individual or, if accepted on behalf of an organization, that organization — "you" or "End User") and Neural-LLM ("Neural-LLM," "we," "our," or "us") governing your installation and use of any Power Agents VS Code extension (each, a "Product"; the Product you have installed or used is the "Extension") and any associated documentation, updates, and supplemental software components delivered through the Visual Studio Code Marketplace or any other distribution channel operated by Neural-LLM.

This EULA supplements and is incorporated into the Neural-LLM Terms of Service (the "Terms") available at https://neural-llm.com/terms. In the event of any conflict between this EULA and the Terms on matters specific to the Extension license, this EULA controls. All other matters are governed by the Terms.

By installing, copying, downloading, or otherwise using the Extension, you agree to be bound by this EULA. If you do not agree, do not install or use the Extension. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

2. Definitions

As used in this EULA:

  • "Extension" means the Power Agents VS Code extension software you have installed — Power Claude, Power Codex, Power Grok or Power Kimi — including all files installed to your local machine, updates delivered via the VS Code Marketplace or Neural-LLM's update channel, and any accompanying documentation.
  • "Power Agents" means the family of Neural-LLM extensions that orchestrate your own third-party AI coding-assistant accounts, comprising Power Claude, Power Codex, Power Grok and Power Kimi, together with any further Neural-LLM extension subsequently published under the Power Agents family and listed at https://neural-llm.com/power-agents (each, a "Product"). Except where this EULA expressly names a single Product, every provision applies to each Product separately and identically.
  • "Host Software" means the third-party AI coding-assistant software with which a Product interoperates, and "Host Vendor" means the owner of that Host Software: Claude and Claude Code (Anthropic, PBC) for Power Claude; Codex (OpenAI) for Power Codex; Grok (xAI) for Power Grok; Kimi (Moonshot AI) for Power Kimi. Each Product is licensed separately; a License Key issued for one Product does not activate any other Product.
  • "License Key" means the unique alphanumeric credential issued to you by Neural-LLM upon activation of a paid subscription that enables paid tier features of the Extension.
  • "Seat" means a single authorized installation of the Extension for a single human user on one or more devices controlled by that user, as further defined by the subscription plan you have purchased.
  • "Subscription" means the paid plan purchased via the Neural-LLM website that entitles you to a License Key and continued access to paid tier features during the subscription term.
  • "Trial" means a time-limited evaluation period during which you are granted full access to paid tier features. Neural-LLM offers two ways to start one, and you may use either without using the other: a "Free Trial", which requires no credit card and is activated automatically on a new installation of the Extension; and a "Premium Trial", which is started by placing an order with a payment method on file and takes no charge at the start of the Trial. A Trial is bound to your machine and may not be reset by reinstalling the Extension. There is no permanent free tier of paid functionality; upon Trial expiry, a Subscription is required to continue using paid features.
  • "Trial Period" means the duration of an active Trial, as set forth on the Neural-LLM pricing page at https://neural-llm.com/pricing. As at the Last Updated date above, the Free Trial runs for 7 days and the Premium Trial draws on a total trial allowance of 14 usable days. Days already used on a Free Trial are deducted from that allowance, so starting a Premium Trial after a Free Trial grants the remainder of the 14 days rather than a further full 14 — for example, starting a Premium Trial on day 6 of a Free Trial grants approximately 8 further days. Calendar days after a Free Trial has expired, during which you had no access, are not deducted. Starting a Premium Trial without first running a Free Trial grants the full 14 days. The Free Trial is bound to your machine, not to a Product: the trial identity is a cluster of hashed machine and Host Vendor account signals with no product dimension, so taking the Free Trial on one Product uses it up for the whole family on that machine. The Premium Trial is per Product and is started by ordering that Product.
  • "AI Output" means any content, suggestion, code, text, or other material generated by or retrieved from a Host Vendor's models, whether surfaced through the Extension's UI, relayed to your development environment, or otherwise made available to you through Extension features.

3. License Grant

3.1 Installation and Trial License

The Extension is free to download and install. Subject to your compliance with this EULA, Neural-LLM grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable, royalty-free license to download, install, and use the Extension during an active Trial Period for evaluation purposes, solely for your personal or internal business purposes.

This license is conditioned upon the following:

  1. Installation itself requires no License Key and no payment. The Extension automatically activates a Trial upon first run.
  2. Full access to paid tier features (including account rotation, rate-limit healing, and OAuth session pinning) is permitted only during an active Trial Period or an active Subscription.
  3. Upon expiry of the Trial Period without the activation of a Subscription, the license to use paid tier features automatically terminates. The Extension will transition to an expired/unlicensed state in which only inert non-paid surfaces (the dashboard view and upgrade prompts) remain accessible. There is no permanent free tier of paid functionality.
  4. Neural-LLM reserves the right to modify the Trial Period duration at any time for new installations, with notice posted at https://neural-llm.com/pricing.

3.2 Paid Subscription License

Upon Neural-LLM's issuance of a valid License Key following your purchase of a Subscription, Neural-LLM grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the full-featured Extension on the number of Seats authorized under your Subscription plan, solely for your personal or internal business purposes during the Subscription term.

This license is conditioned upon your:

  1. Maintaining a current, paid Subscription in good standing with Neural-LLM;
  2. Complying with the license-key validation requirements described in Section 5; and
  3. Complying with all use restrictions in Section 4 and the Acceptable Use Policy.

3.3 Scope Limitations

This EULA grants a license to use the Extension; it does not transfer ownership. Neural-LLM retains all right, title, and interest in and to the Extension and all copies thereof, including all intellectual property rights. All rights not expressly granted are reserved.

4. License Restrictions

You may not, and you may not permit any third party to:

  1. Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Extension or any component thereof, except to the extent, and only to the extent, that such activity is expressly permitted by applicable law notwithstanding this limitation and such restriction cannot be waived by contract under that law;
  2. Redistribute, sublicense, rent, lease, lend, sell, or otherwise transfer the Extension or any License Key to any third party for any purpose, whether for compensation or otherwise;
  3. Copy or reproduce the Extension beyond what is reasonably necessary for backup purposes or as part of the normal installation process on an authorized Seat;
  4. Remove, alter, or obscure any copyright, trademark, patent, trade secret, or other proprietary notice or legend from the Extension, its documentation, or any copy thereof;
  5. Circumvent, disable, bypass, or otherwise interfere with any license-key validation mechanism, feature gating, seat-count enforcement, or other technical protection measure in the Extension;
  6. Modify, adapt, translate, or create derivative works based on the Extension, except to the extent expressly permitted by applicable law;
  7. Use the Extension to develop, market, or distribute a competing product — meaning any product whose primary function is managing, rotating, healing, or analytics-reporting on sessions of any Host Software, whether or not it is the Host Software your Extension interoperates with;
  8. Share, post, or publish your License Key in any public forum, source code repository, issue tracker, or any location accessible to persons other than yourself and your authorized Seats; or
  9. Use the Extension in any manner that violates the Acceptable Use Policy, these Terms, or any applicable law, regulation, or third-party right.

5. License Key Validation

5.1 Validation Mechanism

The Extension includes an automatic license-key validation feature. Upon installation and periodically thereafter (at an interval determined by Neural-LLM), the Extension will contact Neural-LLM's license validation servers to confirm that your License Key is valid and that the number of active Seats does not exceed the limit authorized under your Subscription.

5.2 Data Transmitted During Validation

License validation transmits only: your License Key (which Neural-LLM stores solely as a one-way hash — not retained in plaintext), a pseudonymous machine fingerprint used for Seat enforcement, the Extension version number and build hash, an operating-system platform identifier, a random anti-replay value, this device's public key and its signature, the activation token we issued, and (on the periodic heartbeat) aggregate usage counters (request count, account-rotation count, and a count of host accounts configured for rotation — numbers only). Starting a Free Trial additionally transmits one-way hashes of stable machine signals and, where available, one-way hashes of your Host Vendor account identifier and its email address; these are retained solely to prevent one machine from taking the Free Trial repeatedly, and do not disclose the account itself to Neural-LLM. Conversation content, prompts, source code, host-vendor credentials or API keys, and other sensitive data are never transmitted. See the Privacy Policy for full details.

5.3 Offline and Grace Periods

The Extension will operate for a grace period of 72 hours if it cannot reach Neural-LLM's validation servers due to network unavailability. After the grace period, paid tier features may be suspended until connectivity is restored and validation succeeds. Neural-LLM is not liable for any loss arising from the Extension's inability to reach validation servers due to network conditions outside Neural-LLM's control.

5.4 Key Revocation

Neural-LLM may revoke your License Key with notice if:

  • Your Subscription lapses, is cancelled, or is terminated;
  • Neural-LLM detects that your License Key is in use on a number of Seats exceeding your authorized count;
  • Neural-LLM determines, in good faith, that your License Key has been shared, compromised, or used in violation of this EULA; or
  • Your account is suspended or terminated under the Terms.

6. Host Vendor Accounts — Your Responsibility

The Extension's core functionality — multi-account rotation, rate-limit healing, and session analytics — presupposes that you possess one or more valid accounts with the Host Vendor for your Product, obtained and used in compliance with that vendor's own terms of service (Anthropic's are at https://www.anthropic.com/terms).

Neural-LLM does not:

  • Provide, sell, resell, proxy, or grant access to any Host Vendor's API or service;
  • Create Host Vendor accounts on your behalf;
  • Guarantee any particular rate limit, API tier, or service level from a Host Vendor;
  • Control a Host Vendor's rate-limiting, suspension, or termination of your account(s); or
  • Represent that use of the Extension, including its rate-limit-healing features, is authorized or sanctioned by any Host Vendor.

You are solely responsible for:

  • Obtaining and maintaining valid Host Vendor account(s) in full compliance with that vendor's terms of service and usage policies;
  • Paying all fees owed directly to the Host Vendor for your usage of its service;
  • Ensuring that the manner in which you use the Extension in conjunction with your Host Vendor account(s) is consistent with that vendor's acceptable use policies; and
  • All consequences — including account suspension, termination, or legal action by the Host Vendor — arising from your use of your Host Vendor account(s), whether or not facilitated by the Extension.

Neural-LLM is not responsible for any disruption, degradation, or loss of functionality caused by changes a Host Vendor makes to its software, API, rate-limiting policies, terms of service, or authentication requirements.

7. AI Output — No Warranty; Pass-Through Disclaimer

7.1 Nature of AI Output

The Extension surfaces, routes, or facilitates the delivery of AI Output generated by the Host Vendor's models. Neural-LLM does not generate, create, modify, or review AI Output. AI Output is produced entirely by the Host Vendor's models under that vendor's own infrastructure, subject to that vendor's terms and policies.

7.2 No Neural-LLM Warranty on AI Output

NEURAL-LLM MAKES NO REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, REGARDING AI OUTPUT, INCLUDING WITHOUT LIMITATION AS TO ITS ACCURACY, COMPLETENESS, RELIABILITY, SUITABILITY FOR ANY PURPOSE, FREEDOM FROM BIAS OR ERROR, OR NON-INFRINGEMENT OF THIRD-PARTY RIGHTS.

Any warranty, representation, or commitment a Host Vendor makes (or does not make) regarding its model outputs is that vendor's alone. Neural-LLM does not adopt, repeat, or extend any such warranty. To the extent a Host Vendor provides any upstream warranty regarding AI Output to users of its service, such warranty applies between you and that vendor only; Neural-LLM makes no additional warranty on top of any Host Vendor commitment.

7.3 Your Responsibility for AI Output

You are solely responsible for:

  • Evaluating the accuracy and suitability of AI Output before relying on it;
  • Any decisions, actions, or omissions you make based on AI Output;
  • Any professional advice you seek, provide, or act on that incorporates AI Output; and
  • Compliance with all laws applicable to your use of AI Output, including laws governing professional practice, discrimination, privacy, and intellectual property.

7.4 No Professional Advice

AI Output does not constitute legal, medical, financial, security, or other professional advice. Do not use AI Output as a substitute for qualified professional judgment.

8. Updates and Modifications

Neural-LLM may, at its sole discretion, provide updates, patches, or new versions of the Extension. Updates may be delivered automatically through the VS Code Marketplace or through a Neural-LLM update channel. By enabling automatic updates, you consent to receive and install such updates. Neural-LLM reserves the right to add, modify, or remove features in any update. If an update materially reduces functionality you rely on, your remedy is to downgrade to a prior version (where technically feasible) or to terminate your Subscription and cease use.

Neural-LLM may modify this EULA at any time. The current EULA version governs your use of the then-current Extension version. Continued use of the Extension after Neural-LLM posts an updated EULA constitutes acceptance.

9. Term and Termination

9.1 Term

This EULA is effective from the date you first install or use the Extension and continues until terminated.

9.2 Termination by You

You may terminate this EULA at any time by uninstalling all copies of the Extension and ceasing all use. Termination does not entitle you to a refund except as provided in the Terms.

9.3 Termination by Neural-LLM

Neural-LLM may terminate this EULA and revoke your license immediately, with written notice where practicable, if:

  • You materially breach this EULA and, where the breach is curable, fail to cure it within 10 days of written notice from Neural-LLM;
  • Your Subscription is cancelled, lapses, or is terminated for any reason;
  • Neural-LLM discontinues the Extension (with reasonable advance notice where commercially practicable); or
  • Continued license would require Neural-LLM to violate applicable law.

9.4 Effect of Termination

Upon any termination of this EULA:

  • All licenses granted to you under this EULA immediately and automatically terminate;
  • You must promptly uninstall the Extension from all Seats and destroy all copies in your possession or control;
  • Neural-LLM may revoke your License Key without further notice;
  • All accrued obligations under the Terms, including payment of outstanding fees, remain in effect; and
  • The following provisions survive termination: Section 2 (Definitions), Section 4 (License Restrictions), Section 7 (AI Output), Section 10 (Disclaimer of Warranties), Section 11 (Limitation of Liability), Section 12 (Indemnification), and Section 15 (General).

10. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE EXTENSION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE EXTENSION WILL OPERATE WITHOUT INTERRUPTION OR ERROR.

Neural-LLM does not warrant that:

  • The Extension will meet your particular requirements or expectations;
  • The Extension will be continuously available, uninterrupted, timely, secure, or free of errors;
  • Errors or defects in the Extension will be corrected;
  • The Extension will be compatible with any particular version of VS Code, operating system, or hardware configuration beyond what Neural-LLM expressly documents; or
  • The Extension will function without limitation when a Host Vendor modifies or restricts its software, API, or authentication.

This disclaimer applies to the maximum extent permitted by applicable law. Some jurisdictions do not allow the exclusion of implied warranties; in those jurisdictions, the above exclusions apply to the fullest extent permitted.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL NEURAL-LLM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, LOSS OF SOURCE CODE, LOSS OF AI OUTPUT, OR COST OF SUBSTITUTE GOODS OR SERVICES — ARISING OUT OF OR RELATING TO THIS EULA OR YOUR USE OF OR INABILITY TO USE THE EXTENSION, EVEN IF NEURAL-LLM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY.

Without limiting the foregoing, Neural-LLM will have no liability for any loss, corruption, or unavailability of code, data, files, commits, or work product; for any defect, bug, interruption, or failure of the Extension; for any action or omission of the Extension's automated features (including session recovery, rollback, rate-limit handling, account rotation, and proxy operation); or for any output or modification generated, recommended, or applied by the Extension or any underlying AI model. You are solely responsible for maintaining independent backups and for reviewing all automated changes before relying on them.

NEURAL-LLM'S TOTAL CUMULATIVE LIABILITY UNDER THIS EULA, REGARDLESS OF THE FORM OF ACTION, WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO NEURAL-LLM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR (B) ONE HUNDRED US DOLLARS ($100).

The foregoing limitations do not apply to: (a) liability that cannot be limited or excluded under applicable law; (b) death or personal injury caused by Neural-LLM's gross negligence or willful misconduct; or (c) Neural-LLM's indemnification obligations under Section 12.

Some jurisdictions do not permit limitation of liability for incidental or consequential damages. In such jurisdictions, the foregoing applies to the maximum extent permitted.

12. Indemnification

You agree to indemnify, defend, and hold harmless Neural-LLM, its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  1. Your use of the Extension in violation of this EULA, the Terms, or the Acceptable Use Policy;
  2. Your use of your Host Vendor account(s) in violation of that vendor's terms of service or usage policies, whether or not facilitated by the Extension;
  3. Your violation of any applicable law or regulation;
  4. Your violation of any third-party right, including intellectual property rights or privacy rights;
  5. Any AI Output that you rely on, use, publish, or distribute; or
  6. Any claim by a third party arising from your use of the Extension.

13. Open-Source Components

The Extension may incorporate open-source software components. Such components are provided under their respective open-source licenses, which are made available within the Extension package or at https://neural-llm.com/oss-attribution. Nothing in this EULA limits rights granted under applicable open-source licenses. In the event of any conflict between this EULA and an applicable open-source license with respect to an open-source component, the open-source license controls for that component.

14. Export Compliance

The Extension may be subject to United States export control laws and regulations, including the Export Administration Regulations (EAR) administered by the U.S. Department of Commerce. By using the Extension, you represent and warrant that:

  1. You are not located in, under the control of, or a national or resident of any country subject to a comprehensive U.S. embargo;
  2. You are not listed on any U.S. government list of prohibited or restricted parties; and
  3. You will not use the Extension for any purpose prohibited by U.S. export laws, including the development of nuclear, chemical, biological, or missile weapons.

15. General Provisions

15.1 Governing Law

This EULA is governed by the laws of the State of Utah, United States, without regard to its conflict-of-law principles.

15.2 Dispute Resolution

Disputes arising from this EULA are subject to the Dispute Resolution provisions of the Terms, including the binding arbitration clause, class action waiver, and small claims carve-out described therein.

15.3 Entire Agreement

This EULA, together with the Terms, Privacy Policy, and Acceptable Use Policy, constitutes the entire agreement between you and Neural-LLM with respect to the Extension and supersedes all prior agreements, representations, or understandings regarding the subject matter hereof.

15.4 Severability

If any provision of this EULA is found unenforceable, the remaining provisions will remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its original intent.

15.5 Waiver

No failure by Neural-LLM to enforce any provision of this EULA will constitute a waiver of its right to enforce that provision or any other provision in the future.

15.6 Assignment

You may not assign this EULA or any rights herein without Neural-LLM's prior written consent. Neural-LLM may assign this EULA freely in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets.
