Purpose

This document provides the canonical non-affiliation disclaimer for Neural-LLM and the Power Agents family of products. Use the variant below that matches the available space in the context where the disclaimer will appear.

Each product interoperates with one third-party AI coding assistant, and the disclaimer names that vendor:

Where a variant below shows <Product>, <Host Software> and <Host Vendor>, substitute the row for the product the surface is about. Where a surface covers the whole family (the website footer, the pricing page, the family hub), use the family form given with each variant. All variants must be reproduced exactly as written, without material alteration to the core non-affiliation language.

Shorter variants are designed for contexts where space is limited. They do not replace the full disclosure; the full disclosure must appear at least once in every product surface (e.g., onboarding flow, legal page, EULA, Terms of Service). Shorter variants supplement the full disclosure in recurring contexts such as page footers, extension listings, and badge lines.

Variant A — Ultra-Short (One-Liner, ~120 Characters)

For use in: page footers, VS Code Marketplace badge line, sidebar widgets, email footers.

For the whole family:

Power Agents are independent products by Neural-LLM — not affiliated with Anthropic, OpenAI, xAI or Moonshot AI.

Character count: the Power Claude form is 83 characters; the family form is 110. Either may be extended to the following version where space allows:

Variant B — Short Paragraph (~50 Words)

For use in: VS Code Marketplace listing description, extension README.md top-of-file banner, product landing page "About" sections, email marketing footers.

"<Host Software>" is a trademark of <Host Vendor>, used here solely to identify the products with which <Product> interoperates. You must obtain your own <Host Vendor> account separately.

Power Agents — Power Claude, Power Codex, Power Grok and Power Kimi — are independent products developed by Neural-LLM. They are not affiliated with, endorsed by, or sponsored by Anthropic, PBC, OpenAI, xAI or Moonshot AI. Each vendor's marks are used solely to identify the software the corresponding product interoperates with. You must obtain your own account with each vendor separately.

Variant C — Full Disclosure (~150 Words)

For use in: Terms of Service, Privacy Policy, EULA, onboarding/first-run modal, About panel in the extension settings, legal pages on the Neural-LLM website.

"<Product>" is an independent third-party product developed by Neural-LLM and is not affiliated with, endorsed by, sponsored by, or otherwise connected to <Host Vendor>. "<Host Software>" is a trademark of <Host Vendor>, used here under nominative fair use solely to identify the products with which our software interoperates. <Product> is a companion utility; you must obtain and pay for your own <Host Vendor> account separately and use it in accordance with that vendor's terms of service and usage policies.

Neural-LLM makes no claim to any <Host Vendor> intellectual property, branding, or goodwill. The use of the name "<Host Software>" in the <Product> product name and documentation is purely descriptive — identifying the third-party product that <Product> extends — and does not imply any commercial relationship, partnership, license grant, or approval by <Host Vendor>.

For a family-wide surface, name every vendor:

"Claude" and "Claude Code" are trademarks of Anthropic, PBC; "Codex" of OpenAI; "Grok" of xAI; "Kimi" of Moonshot AI. Each is used under nominative fair use solely to identify the software the corresponding product interoperates with. Each product is a companion utility: you must obtain and pay for your own account with the relevant vendor separately, and use it in accordance with that vendor's terms of service and usage policies.

Nominative Fair Use Basis

Neural-LLM's use of the marks "Claude" and "Claude Code" in product naming and documentation is grounded in the nominative fair use doctrine as articulated in New Kids on the Block v. News America Publishing, Inc., 971 F.2d 302 (9th Cir. 1992), and its progeny. Neural-LLM satisfies all three prongs:

1. The product or service cannot readily be identified without using the trademark. Each product interoperates with one named third-party assistant — Claude Code, Codex, Grok or Kimi. There is no practical alternative name that accurately identifies what each product does.
2. Neural-LLM uses only so much of the mark as is reasonably necessary to identify the product. Neural-LLM does not use any Host Vendor's logos, trade dress, or stylized branding. Only the plain-text mark — "Claude" / "Claude Code", "Codex", "Grok", "Kimi" — appears in descriptive contexts.
3. Neural-LLM does nothing that would suggest sponsorship or endorsement by a Host Vendor. The non-affiliation disclaimer appears prominently in all product surfaces, explicitly stating that the vendor is not affiliated with, does not endorse, and does not sponsor Neural-LLM or the product.

Note that the analysis is per mark and per product: a fair-use position confirmed for "Claude" does not carry over to "Codex", "Grok" or "Kimi", each of which has its own owner, its own registrations and its own enforcement posture.

This analysis is informational. Neural-LLM should seek qualified trademark counsel to confirm its fair use position before commercial launch and periodically thereafter.

Usage Instructions for Internal Teams

• Always use Variant C on first-run onboarding screens, legal pages, and inside the extension's About panel.
• Always use at least Variant B on the VS Code Marketplace listing, the extension README.md, and the product landing page.
• Variant A is acceptable only where space constraints make Variant B impractical (footers, badge lines).
• Never omit the disclaimer entirely from any page or screen where a Host Software name — "Claude", "Claude Code", "Codex", "Grok" or "Kimi" — appears prominently.
• Name the right vendor. A Power Codex surface that disclaims only Anthropic discloses nothing about the vendor whose mark it is actually using.
• When updating marketing copy, the non-affiliation disclaimer must be reviewed at the same time. Do not update one without updating the other.
