1. What Power Agents Is
Power Agents is the family of Neural-LLM extensions that orchestrate the accounts you already hold with a third-party AI coding assistant. Each extension is a separate product with its own subscription and licence key:

In these Terms, "Host Software" means the third-party AI coding-assistant software a product interoperates with, and "Host Vendor" means the owner of that software. Every term below — billing, trials, refunds, seats, warranties, liability, arbitration — applies to each product separately and identically; only the Host Vendor differs. A licence key issued for one product does not activate any other, and using more than one product requires a separate subscription for each.
Each product is a client-side software utility that helps individual developers and small teams manage multiple Host Vendor accounts they personally own. Specifically, it provides local rotation logic so that your development workflow can cycle between those accounts without manual credential switching.
A Power Agents product is a tool, not a service provider for Host Vendor access. It does not:
- Resell or sublicense any Host Vendor's API capacity.
- Proxy your requests to a Host Vendor on your behalf through Neural-LLM infrastructure.
- Bypass, defeat, circumvent, or evade a Host Vendor's rate limits, billing systems, usage policies, or terms of service.
- Access, store, or transmit your prompts, AI-generated responses, generated code, or Host Vendor API keys or OAuth tokens.
You authenticate directly to the Host Vendor using your own credentials. The product manages the local rotation logic on your machine. Neural-LLM never sees your Host Vendor credentials or the content of your interactions with the Host Software.
2. Your Responsibilities Regarding Your Host Vendor
Your use of a Host Vendor's software, API and CLI is governed entirely by that vendor's own Terms of Service and Usage Policies. You are solely responsible for ensuring your use of a Power Agents product complies with those terms. Neural-LLM makes no representations about what any Host Vendor permits and accepts no liability for any enforcement action a Host Vendor takes against your accounts.
Specifically, you represent and warrant that:
- You personally own, or are expressly authorized to use, every Host Vendor account you configure in a Power Agents product.
- You will not configure a Power Agents product to rotate credentials belonging to other individuals without their knowledge and consent.
- You will not use a Power Agents product to share a single Host Vendor account across multiple unauthorized users.
- Your use of multiple Host Vendor accounts complies with that vendor's account policies at all times.
Neural-LLM is not responsible for any suspension, termination, or other action taken by a Host Vendor against your accounts, regardless of whether a Power Agents product was in use at the time.
3. License Grant
Subject to your payment of applicable subscription fees and compliance with these Terms, Neural-LLM grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Power Agents product you purchased on machines you own or control, up to the number of concurrent activations permitted by your subscription tier. The grant is per product: a subscription to one product conveys no rights in any other.
Your license key is tied to a hardware fingerprint (machine ID) generated on your device. You may deactivate and reactivate your license up to three times to move the activation between machines. If you need additional reactivations beyond this limit, contact
You may not:
- Sublicense, sell, rent, or transfer your license key to any other person or entity.
- Reverse engineer, decompile, or disassemble a Power Agents product beyond what applicable law expressly permits.
- Modify or create derivative works of a Power Agents product.
- Remove or obscure any proprietary notices in the software.
- Use a Power Agents product to build a competing product or service.
4. Subscription, Billing, and License Activation
Each Power Agents product is sold as a subscription — monthly or annual — through the neural-llm.com website using our e-commerce platform, on the same terms and at the same trial lengths for every product. One exception is worth stating plainly: the no-card free trial is bound to your machine rather than to a product, so taking it on one product uses it up for the whole family on that machine. The card-on-file Premium Trial is per product and is started by ordering that product. Your subscription gives you access to the current version of the product you purchased and any updates released during your active subscription period.
4.1 Billing
Subscription fees are charged at the start of each billing period. Prices are stated in USD. Applicable taxes may be added at checkout depending on your location. We use a third-party payment processor (Authorize.Net) to handle payment card transactions; Neural-LLM never stores your card number or full payment credentials.
4.2 Renewal and Cancellation
Subscriptions renew automatically unless you cancel before the renewal date. You may cancel at any time through your account dashboard. Cancellation stops future charges; you retain access through the end of your current paid period. Cancelling one product does not cancel a separate subscription to another. Refund eligibility on cancellation (including treatment of partial billing periods) is governed exclusively by our Refund Policy, which is incorporated into these Terms by reference and applies identically to every product.
4.3 License Keys and our license system
Upon successful purchase, our license system generates and delivers a license key to your registered email address. License keys are single-user, per-product and non-transferable. Neural-LLM reserves the right to revoke a license key if it is used in violation of these Terms.
5. Acceptable Use
Power Agents products are intended for legitimate software development work. You agree not to use any of them:
- For any unlawful purpose or in violation of any applicable law or regulation.
- To coordinate unauthorized access to a Host Vendor's services or any other third-party system.
- In a way that imposes an unreasonable load on Neural-LLM's license validation infrastructure.
- To resell or commercially exploit AI-generated content in a manner that violates the Host Vendor's terms.
Neural-LLM reserves the right to suspend or terminate your license immediately for material breach of these acceptable use requirements.
6. Telemetry and Data
The license check, trial check and heartbeat send the following to Neural-LLM:
- Your license key, sent over TLS and kept by Neural-LLM only as a one-way hash — never retained in plaintext.
- A hashed machine ID, used for seat binding and never linkable back to hardware specifics.
- The extension version and build hash.
- Your operating-system platform, a random anti-replay value, and this device's public key and signature.
- Aggregate counters — requests, rotations, and the number of Host Vendor accounts configured for rotation — never the content of any request.
Starting a free trial sends more than the licence check does. Because a no-card trial is worth farming, trial activation additionally transmits one-way hashes of stable machine signals and, where the Extension can read them, one-way hashes of your Host Vendor account identifier and its email address. They are stored against the trial record solely to stop one person taking the free trial repeatedly, and they do not disclose the account itself to Neural-LLM.
We do not collect, transmit, or store your prompts, AI responses, generated code, API keys, OAuth tokens, or any content of your interactions with the Host Software. No further telemetry is collected unless you opt in. Full details are in our Privacy Policy.
7. Intellectual Property
The Power Agents products, including their source code, design, documentation, and all associated intellectual property, are owned by Neural-LLM and are protected by US and international copyright law. These Terms do not transfer any ownership interest to you. The license granted in Section 3 is the entirety of your rights in the software.
Feedback, bug reports, and feature suggestions you submit to Neural-LLM may be used by Neural-LLM without compensation or attribution to you.
"Claude" and "Claude Code" are trademarks of Anthropic, PBC; "Codex" of OpenAI; "Grok" of xAI; "Kimi" of Moonshot AI. Neural-LLM is not affiliated with, endorsed by, or sponsored by any of them, and uses each name only to identify the software the corresponding product works with.
8. Disclaimer of Warranties
THE POWER AGENTS PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. NEURAL-LLM EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NEURAL-LLM DOES NOT WARRANT THAT ANY PRODUCT WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.
In particular, Neural-LLM makes no warranty that a product will remain compatible with future versions of its Host Software, the Host Vendor's API or CLI, or that vendor's authentication systems. A Host Vendor may change its APIs or authentication methods at any time without notice to Neural-LLM, and such changes may render the product partially or fully non-functional. Neural-LLM will make commercially reasonable efforts to update the product in response to Host Vendor changes but cannot guarantee a specific timeline.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEURAL-LLM, ITS OPERATORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE ANY POWER AGENTS PRODUCT, EVEN IF NEURAL-LLM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NEURAL-LLM'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR ANY POWER AGENTS PRODUCT SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO NEURAL-LLM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, Neural-LLM's liability is limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Neural-LLM from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of a Power Agents product in violation of these Terms; (b) your violation of a Host Vendor's terms of service; (c) your configuration of Host Vendor accounts you do not have authorization to use; or (d) any claim by a third party arising from your use of a Power Agents product.
11. Termination
Neural-LLM may suspend or terminate your license and access at any time for material breach of these Terms, with or without prior notice. Upon termination, your license key is revoked and you must cease using the software. Termination does not entitle you to a refund except as described in the Refund Policy.
You may terminate your subscription at any time as described in Section 4.2.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Draper, Utah, USA, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or any Power Agents product that cannot be resolved informally shall be submitted to binding arbitration in Salt Lake County, Utah, under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
YOU AND NEURAL-LLM EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION. Any claim must be brought in your individual capacity, not as a class member or in any purported class or representative proceeding.
13. Changes to These Terms
Neural-LLM may update these Terms from time to time. When we make material changes, we will update the effective date above and, where practical, notify you by email to your registered address. Continued use after the updated Terms take effect constitutes acceptance of the revised Terms. If you do not agree to updated Terms, your remedy is to cancel your subscription before the effective date.
14. General
These Terms, together with the Privacy Policy, Refund Policy, Cancellation Policy, and Acceptable Use Policy, constitute the entire agreement between you and Neural-LLM regarding the Power Agents products and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force. Neural-LLM's failure to enforce any provision of these Terms is not a waiver of its right to do so later. You may not assign your rights under these Terms without Neural-LLM's prior written consent.
